Limited Liability Company (LLC)
With rare exceptions, when we form an LLC, we prepare complete documentation as needed for the LLC to operate, function, and carry out its intended purposes. The exact structure of the LLC will be shown on your custom Legal Architectural Diagram. Forming an LLC – Legal Services will generally include the following:
- Attorney time for Consultation, and Selection of Jurisdiction and Domicile, and design or Membership and Management
- Articles of Organization
- Filing with the Corporation Commission, Secretary of State, or Applicable State Authority
- Publication of Articles & filing of Affidavit of Publication (as required)
- Complete SS-4 and coordinate with the IRS to obtain Tax ID Number
- Complete tax election forms as applicable (where the LLC is to be taxed as a C Corporation or S Corporation)
- Operating Agreement with Schedules
- Funding or Transferring the LLC to Applicable Members as needed
- Up-dating Schedules of Assets for Member entities
- Certificates of Membership for each Member
- Two original Certificates of Power and Authority
- LLC Information Summary
- LLC Integrity Agreement
- LLC Confidentiality and Non-Disclosure Agreement
- Attorney and Paralegal time for Signing Ceremony, explanation of documents, revisions as needed
- Update Custom Diagram with LLC Information, Membership and Management
- Letters of Instruction and educational articles on how to operate and maintain an LLC
- Client Original LLC Notebook (most opt out of the hard copy and only want a pdf of the documents)
- Coordinate with CPA and advisors regarding details and implementation
- Copies of LLC documents for the client CPA
- Electronic Copies of Documents in pdf format
- Schedule of Assets Transferred to Limited Liability Company (asset transfers to the LLC are not included in the formation of LLC – Legal Services)
